Gilchrist Connell advises Virtus Health Limited on its acquisition of Adora Fertility

Leading national law firm, Gilchrist Connell, has advised Virtus Health Limited on its acquisition of Adora Fertility and three day hospitals from Australian healthcare company, Healius Limited, for $45 million.

Adora Fertility operates IVF and fertility clinics and laboratories in New South Wales, Victoria, Queensland and Western Australia which complement Virtus’ existing clinics, whilst expanding into the new market of Western Australia. The Adora clinics have a demonstrated track record of achieving growth and will add meaningful value to the Virtus Health network. The clinics and day hospitals are fitted with a modern fleet of equipment, recently invested in to support assisted reproductive services.

The Gilchrist Connell cross-practice team was led by the firm’s Head of Corporate, Gaurav de Fontgalland (Principal) and Malcolm Wood (Special Counsel) with specialist input from Nitesh Patel (Principal – Cyber & Technology) and Sarah Wood (Principal – Employment & Workplace). The combined team also included Nadine John (Associate), Carolyn Ledinh (Associate), Adriana Reina (Senior Associate), Linda Zeng (Lawyer), Aayush Jain (Lawyer) and Lilla Zayzon (Law Graduate).

The acquisition is expected to be completed in Q2 FY22, subject to satisfaction of customary conditions.
